These Terms of Service (the “Terms”, also referred to as our terms and conditions or terms of use) govern your access to and use of MatterWise. Please read them carefully. By creating an account or using MatterWise, you agree to these Terms.
MatterWise is operated by Lachlan McAlpine trading as Skew Strategies (ABN 71 450 463 160) (“MatterWise”, “we”, “us”, “our”), based in New South Wales, Australia. You can contact us at admin@matterwise.com.au.
In these Terms, “you” and “your” means the person who uses MatterWise and, where you use it for or on behalf of a business, that business as well. If you use MatterWise on behalf of a business, you confirm you are authorised to accept these Terms for that business.
MatterWise is a software tool that helps Australian small businesses (initially in childcare and hospitality) understand and manage staff and employment situations. Depending on the features you use, MatterWise may:
MatterWise provides general information and workflow tools only. It does not make employment decisions for you, and it does not represent you or act for you in any matter. You remain solely responsible for every decision you make and every action you take about your staff.
To use MatterWise you must be at least 18 years old and capable of forming a binding contract. You must provide accurate account information and keep it up to date.
You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Tell us promptly at admin@matterwise.com.au if you believe your account has been accessed without your authorisation. You are responsible for the actions of any managers or team members you invite to your organisation.
Your use of MatterWise must comply with our Acceptable Use Policy, which forms part of these Terms. In short, you must not use MatterWise unlawfully, input data you have no right to input, misuse other people’s personal information, interfere with or attack the platform, or resell or reverse engineer it. We may suspend or terminate access for breach (see clause 12).
Your content stays yours. You retain all rights in the business and staff information you enter (“Your Data”). You grant us a limited, non-exclusive licence to host, process and display Your Data solely to provide and improve MatterWise, and as described in our Privacy Policy.
MatterWise is designed to minimise the personal information that leaves your device: by default, employees’ real names are held in your browser and are replaced with codenames before information is sent to our servers or to any AI service. This is described in the Privacy Policy.
You are responsible for the data you input. When you enter information about your employees or others, you confirm that you are authorised to do so and that you will handle their personal information in accordance with your own obligations under the Privacy Act 1988 (Cth) and any other applicable law — including telling your employees, where required, how their information is handled. You must not upload content that is unlawful, that infringes someone’s rights, or that you have no right to provide.
Some MatterWise features use artificial intelligence to generate text, assessments and suggestions. AI output can be inaccurate, incomplete, out of date, or not suited to your circumstances. You must review, verify and, where appropriate, obtain professional advice on any AI-generated content before you rely on it or act on it. You are responsible for the final content of any document you send or use.
MatterWise provides general information only. It is not legal, financial, or professional advice, does not take into account your specific circumstances, and does not create a solicitor–client or any other professional relationship. MatterWise is an independent product and is not affiliated with, endorsed by, or connected to the Fair Work Ombudsman, the Fair Work Commission, or any government body. MatterWise is currently offered on a free basis during an alpha (early-testing) period. The service is provided as-is during this period and may change, be interrupted, or be discontinued (see clause 9).
We may introduce paid plans in the future. If we do, we will make the pricing and payment terms available before you are charged, and you may choose whether to continue on a paid basis. Where payments apply, they may be processed by a third-party payment provider (such as Stripe), and your use of that provider is subject to its own terms.
We aim to keep MatterWise available and working, but we do not guarantee uninterrupted or error-free operation. Because MatterWise is in active development, we may add, change, suspend or remove features at any time. We may perform maintenance that temporarily affects availability.
MatterWise, including its software, design, text, and underlying database and models (but excluding Your Data), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use MatterWise in accordance with these Terms. You must not copy, modify, distribute, sell, or reverse engineer any part of MatterWise except to the extent the law permits you to do so despite this restriction.
MatterWise relies on third-party service providers (for example, for hosting, database, AI processing, email, calendar integration, SMS and payments) and may contain links to third-party websites or resources. We are not responsible for third-party services or content, and your use of them may be subject to their own terms and privacy practices. Our sub-processors are described in our Privacy Policy.
You may stop using MatterWise and close your account at any time by contacting us. We may suspend or terminate your access if you breach these Terms or the Acceptable Use Policy, if required by law, or if we reasonably need to protect MatterWise, our users, or others. Where practical and lawful, we will give you notice. On termination, your right to use MatterWise ends. We will handle any of Your Data that remains in accordance with our Privacy Policy and applicable law.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded (“Non-Excludable Rights”).
Subject to your Non-Excludable Rights, MatterWise is provided “as is” and “as available”, and to the maximum extent permitted by law we exclude all other warranties, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Where our liability for a breach of a Non-Excludable Right can lawfully be limited, our liability is limited to, at our option, resupplying the service or paying the cost of having it resupplied.
Subject to your Non-Excludable Rights and to the maximum extent permitted by law:
You acknowledge that MatterWise provides general information and tools, that you are responsible for your own employment decisions, and that we are not liable for the outcome of any decision you make or action you take.
To the maximum extent permitted by law, you agree to indemnify us against any loss, liability, cost or expense we reasonably incur arising from your breach of these Terms or the Acceptable Use Policy, your unlawful use of MatterWise, or your handling of personal information you input into MatterWise in breach of your obligations.
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. By using MatterWise you acknowledge that Privacy Policy.
We may update these Terms from time to time. If we make a material change, we will take reasonable steps to notify you (for example, by email or an in-product notice). Changes take effect when posted, or on any later date we specify. Your continued use of MatterWise after changes take effect means you accept the updated Terms.
These Terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia. Before starting any proceedings, we encourage you to contact us at admin@matterwise.com.au so we can try to resolve the matter.
These Terms, together with the Privacy Policy, Acceptable Use Policy and Disclaimer, are the entire agreement between you and us about MatterWise. If any part of these Terms is found to be unenforceable, the rest continues to apply. Our failure to enforce a right is not a waiver of it. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a sale or restructure of our business.
